Important Notice

By accessing, downloading, installing, or using Niox Pro Wave software, you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, do not use our software.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "You", "Your") and Niox Pro Wave ("Company", "We", "Us", "Our") regarding your use of our graphic and motion design software.

By using Niox Pro Wave, you represent that you are at least 18 years old or have parental consent to use the software. If you are using the software on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use Niox Pro Wave on computers that you own or control
  • Use the software for personal or commercial design projects
  • Create derivative works using our software (your designs remain your intellectual property)

License Restrictions

You may NOT:

  • Copy, modify, or distribute the software or its source code
  • Reverse engineer, decompile, or disassemble the software
  • Remove any proprietary notices or labels
  • Use the software for any illegal or unauthorized purpose
  • Share your license key with others
  • Install the software on more computers than permitted by your license

3. Pricing and Payment

Niox Pro Wave offers a one-time payment model with the following options:

Payment Terms:

  • All prices are in GBP unless otherwise specified
  • Payment is required before software activation
  • We accept major credit cards and PayPal
  • Prices are subject to change without notice
  • You are responsible for any applicable taxes

4. Refund Policy

30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee from the date of purchase. To be eligible for a refund:

  • You must request the refund within 30 days of purchase
  • The software must not have been used for commercial projects
  • You must provide proof of purchase
  • Refunds will be processed within 14 business days

Non-Refundable Situations:

  • Requests made after 30 days from purchase
  • If the software has been used for paid client work
  • If you violate these Terms and Conditions
  • Technical issues that were resolved through our support

5. Intellectual Property Rights

Company Intellectual Property: All rights, title, and interest in and to Niox Pro Wave software, including all intellectual property rights, are and will remain the exclusive property of Niox Pro Wave and its licensors.

User Content: You retain all rights to the designs, graphics, animations, and other content you create using Niox Pro Wave. However, you grant us a limited license to use anonymized, aggregated usage data to improve our software.

Third-Party Content: Niox Pro Wave may include third-party fonts, templates, or assets. These are subject to their own licenses and terms, which you must comply with.

6. Software Updates and Support

Updates: Your license includes free updates for the duration of your support period. After this period, you may continue using your current version or purchase an upgrade.

Support: We provide technical support through email and our knowledge base. Response times vary based on your license type:

  • Starter License: 48-hour response time on business days
  • Business License: 24-hour response time on business days

System Requirements: You are responsible for ensuring your computer meets the minimum system requirements for Niox Pro Wave.

7. User Responsibilities

As a user of Niox Pro Wave, you agree to:

  • Use the software only for lawful purposes
  • Not create or distribute harmful, offensive, or illegal content
  • Keep your license key secure and confidential
  • Not attempt to bypass any security features
  • Not use the software to infringe on others' intellectual property rights
  • Comply with all applicable laws and regulations

8. Termination

We may terminate or suspend your license immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use Niox Pro Wave will immediately cease
  • You must uninstall the software from all devices
  • You must destroy all copies of the software
  • Any fees paid are non-refundable (except as specified in our refund policy)

9. Disclaimer of Warranties

Important Disclaimer

NIOX PRO WAVE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Merchantability or fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, reliability, or completeness of content
  • That the software will meet your specific requirements
  • That the software will be uninterrupted or error-free

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIOX PRO WAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Computer failure or malfunction
  • Any other commercial damages or losses

OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Dispute Resolution: Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be settled by binding arbitration in London, UK.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by:

  • Posting the new Terms on our website
  • Sending an email to registered users (for major changes)
  • Updating the "Last Updated" date

Your continued use of Niox Pro Wave after any changes constitutes acceptance of the new Terms.
